ARTICLE I Name and Address

ARTICLE II Purposes

A. The Northboro Youth Soccer Association, Inc (hereafter referred to as NYSA) is a non-profit organization formed and established to provide for the advancement of amateur soccer in the town of Northboro. It will arrange, promote, organize and supervise amateur soccer competition involving persons five years of age or older, who reside in Northboro. Persons five years of age and older, who reside in neighboring town may participate with the prior approval of the Executive Board. The following goals will guide the NYSA in its various activities:

(1) To teach the skills of the game of soccer;
(2) To teach the laws of the game;
(3) To provide and encourage constructive coaching;
(4) To gain for each participant the following benefits;

(a) To learn to work with others in a team endeavor;
(b) To learn to be gracious in victory as well as defeat;
(c) To obtain a level of physical fitness and coordination that will benefit them in later life;
(d) The knowledge that winning is not a life or death situation;

B. the NYSA will always be willing to explore new ideas and ways of providing an opportunity for boys and girls and men and women to participate in a healthy and active sport.

ARTICLE III Membership and Voting

A. Members of the NYSA are the participants who are: (1) coaches, assistant coaches, managers or trainers of the respective teams and (2) the officers of the Association NYSA.

B. All individuals listed in section A, exclusive of the President, shall be entitled too one vote; provided, however, that relative to A (1), there shall not be more than two votes per team, with the order of priority as set forth as set forth in section A and with the coach to designate which of the assistant coaches, managers or trainers is to have the other vote. An officer who is also eligible to vote per A (1) shall be eligible to vote per A (2) and not per A (1). The President casts a vote in case of a tie vote. The Upper level Registration Coordinator and the Lower Level Registration Coordinator of the NYSA are responsible for maintaining a current membership and voting list of the NYSA.

C. membership and full voting privileges may be granted to an individual who has served the NYSA by a unanimous recommendations of the Executive Board and the subsequent majority vote of the NYSA at a meeting

ARTICLE IV Meetings

A. The Annual General Meeting shall be held in the month of October no later than the 31st day of October, at the place and at the hour fixed by the President or Executive Board and stated in the announcement of the meeting.

B. Special sessions of the Executive Board or the general membership may be called by the President, Vice President, Secretary or Treasurer. The call must state the exact purposes of the session and the business at the session is limited to the stated purpose. Notice of the special session must be given to all members of the respective groups at least one week in advance. If the person(s) issuing the call certify that the business to be considered is of an emergency nature, advance notice need only be given 24 hours before the session, provided that as the first item of business, the majority of the voting members present at the special session verify that an emergency does exist with respect to the specified subject matter.

C. Voting members representing at least 50% of the current number of teams and either the President or Vice President, shall constitute a quorum. A quorum must be present for the transaction of any business. After the end of a playing season, for quorum purposes, the current teams shall consist of the Fall general meeting and the Spring teams for the Spring general meeting.

D. Voting members of the Executive Board representing at least 50% of the board members, one of which must be the NYSA President or Vice President, shall constitute a quorum. A quorum must be present for the transaction of any business.

E. All matters are decided by a majority of the voting membership present and voting, unless otherwise specified in the bylaws adopted by the membership.

F. The voting membership may establish and enforce rules or order for sessions, provided notice is given of proposed rules.

ARTICLE V Directors and Officers

A. Enumeration and powers:

(1) There is a President, who:

(a) presides at all sessions of the NYSA;
(b) sits on the Executive Board;
(c) sits as Association representative (or his designee) to other
leagues and organizations;
(d) has such powers as these bylaws confer;
(e) has such powers as the NYSA confers;
(f) directs disbursement of all monies of the NYSA.

(2) There is a Vice President, who:

(a) represents, or presides in place of, the President during meetings
which the President is unable to attend;
(b) assumes the office of President if the office becomes vacant due
to the death, resignation, removal, refusal to serve or loss of
Association membership status of the President;
(c) sits on the Executive Board;
(d) has such powers as these bylaws confer;
(e) has such powers as the NYSA confers;
(f) represents the NYSA at participating travel league meetings;
(g) tabulates and submits weekly game results for all select teams;
(h) Assists the upper registrar with league passcards and rosters for MTOC and NCUP teams.

(3) There is a Secretary, who:

(a) keeps all records of the NYSA, (except financial records)
including NYSA bylaws and minutes of all meetings;
(b) sits on the Executive Board;
(c) supervises the tallying of all votes of the meetings and
publicly announces their results;
(d) has such powers as these bylaws confer;
(e) has such powers as the NYSA confers.

(4) There is a Treasurer, who:

(a) is responsible for all fiscal affairs of the NYSA, as directed
by the membership;
(b) sits on the Executive Board;;
(c) keeps all financial records of the NYSA;
(d) has such powers as these bylaws confer;
(e) has such powers as the NYSA confers;
(f) submits the necessary tax and non-profit forms.

(5) There is an Upper Level Registration Coordinator, who

(a) is responsible for coordinating player registration for the Spring season and for the Fall season. Registration dates, and closeout deadlines, may be set and changed by a vote of the Executive Board;
(b) is responsible for chairing a team formation meeting at a reasonable time after registration, as determined by the Upper Level Registration Coordinator. The team formation committee shall consist of the respective age group, the NYSA President or his designees and the coaches of the age group to be selected;
(c) may recommend to the Executive Board for approval a person(s)
to perform administrative or computer services, the Executive
Board will have final approval of this recommendation. This
Person(s) will not be an Executive Board member and will not have Board voting privileges;
(d) sits on the Executive Board;
(e) has such powers as these bylaws confer;
(f) has such powers as the NYSA confers;
(g) is responsible for the under ten and older age brackets.
(h) completes all necessary league forms and documents, all rosters and passcards, and other forms as required for the travel teams.

(6) There is a Lower Level Registration Coordinator, who:

(a) is responsible for coordinating player registration for the Spring season and for the Fall season. Registration dates, and closeout deadlines, may be set and changed by a vote of the Executive Board;
(b) is responsible for chairing a team formation meeting at a reasonable time after registration, as determined by the Lower Level Registration Coordinator. The team formation committee shall consist of the respective age group, the NYSA President or his designees and the coaches of the age group to be selected;
(c) may recommend to the Executive Board for approval a person(s)
to perform administrative or computer services, the Executive
Board will have final approval of this recommendation. This
Person(s) will not be an Executive Board member and will not have Board voting privileges;
(d) sits on the Executive Board;
(e) has such powers as these bylaws confer;
(f) has such powers as the NYSA confers;
(g) is responsible for the under eight, under seven, and under six age brackets.
(h) is responsible for preparing a game schedule for all under eight, under seven, and under six age brackets.

(7) There is an Equipment Coordinator, who:

(a) inventories and distributes all equipment for the NYSA;
(b) orders all equipment for the NYSA;
(c) may recommend for Executive Board approval an individual who
will act as Assistant Equipment Coordinator. This person will not
be an Executive Board member and will not have board voting
privileges. This person will be responsible for maintenance of
all NYSA equipment;
(d) sits on the Executive Board;
(e) has such power as these bylaws confer;
(f) has such powers as the NYSA confers.

(8) There is a Coach Coordinator, who:

(a) secures all coaches for the number of recreational teams represented by the NYSA and recommends the appointment
of the same to the Executive Board, which shall have power
to accept or reject any recommendation and to name a person
in place of the rejected recommendation;
(b) coordinates appropriate coaches training;
(c) recommends the appointment of Age Level Coordinators to
the Executive Board for approval;
(d) sits on the Executive Board;
(e) has such powers as these bylaws confer;
(f) has such powers as the NYSA confers;

(9) There is a Field Assignment Coordinator, who:

(a) secures all practice and game fields;
(b) is responsible for scheduling and rescheduling practice fields;
(c) sits on the Executive Board;
(d) has such powers as these bylaws confer;
(e) has such powers as NYSA confers.

(10) There is a Fund Raising Coordinator, who:

(a) coordinates those activities to raise funds for the NYSA as approved by the Executive Board;
(b) may seek sponsorship for the NYSA as deemed appropriate;
(c) may recommend for Board approval an individual(s) who will
act as Assistant Fund Raising Coordinator, this person(s) will not
be a member of the Executive Board and will not have Board
voting privileges. This individual(s) will be responsible for fund
raising activities as directed by the Fund Raising Coordinator or
the Executive Board;
(d) sits on the Executive Board;
(e) has such powers as these bylaws confer;
(f) has such powers as the NYSA confers.

(11) There is a Referee Coordinator, who:

(a) secures and assigns referees for matches in which NYSA teams
are involved, as league participation may dictate;
(b) is responsible for coordinating referee training, insuring that
referees meet minimum qualification requirements for their
match assignments and are informed of FIFA Law changes;
(c) may recommend for Executive Board approval an individual(s)
who will act as Assistant Referee Coordinator, this person(s) will
not be a member of the Executive Board and will not have Board
voting privileges. This individual(s) will be responsible for the
assignment of referees for the under six and under eight in town
soccer program and will work in coordination with the Referee
Coordinator;
(d) sits on the Executive Board;
(e) has such powers as these bylaws confer;
(f) has such powers as the NYSA confers.
(g) is responsible for scheduling and rescheduling game fields;

(12) There is a Travel Teams Coordinator, who:

(a) secures all coaches for the number of select teams chosen via
the player evaluation process and represented by the NYSA, and recommends the appointment of same to the Executive Board, which shall have the power to accept or reject any recommendation and to name a person in place of the rejected recommendation;
(b) coordinates the select team evaluation process;
(c) sits on the Executive Board;
(d) has such powers as these bylaws confer;
(e) has such powers as NYSA confers.

(13) There is a Field Maintenance Coordinator, who:

(a) maintains all goals and nets;
(b) coordinates the maintenance of the fields;
(c) coordinates the lining of the fields;
(d) sits on the Executive Board;
(e) has such powers as these bylaws confer;
(f) has such powers as the NYSA confers.
(g) orders field equipment, including goals, flags, and field paint.

B. ELECTION, REMOVAL, AND REPLACEMENT

(1) Officers are elected annually at the regular October session of the NYSA, by the majority vote of those members present and voting. The NYSA Secretary shall certify and publish the election results no later than seven (7) days after the election, in such manner as the NYSA dictates, and the new officers shall take office on the first day of December.

(2) A person may become a candidate for office by submitting his/her name to the Association Secretary or the nominating committee, if such a special
committee has been formed and given the power to secure nominees.
Submittal must be at least one week prior to the election and the Secretary must give notice of the names of all qualifying candidates for office.

(3) If the office of President becomes vacant due to death, resignation,
removal, refusal to serve, loss of NYSA membership, the Vice President
shall assume the powers of the office as acting President until his
successor qualifies. If the office of Vice President, Secretary,
Treasurer, Upper Level Registration Coordinator, Lower Level
Registration Coordinator, Equipment Coordinator, Coach Coordinator,
Field Assignment Coordinator, Fund Raising Coordinator, Referee
Coordinator, Travel Teams Coordinator, or Field Maintenance Coordinator become vacant in one of the above listing manners, the
President shall appoint a NYSA member to assume the powers of the
Office until a successor qualifies. In case of vacancy, the President
(or acting President) shall call a special session of the Executive Board
to elect a successor according to such election procedures as the NYSA
established.

(4) An officer or member of the NYSA may be removed from office or the
Association for cause at a regular or special session, by a vote of 2/3 of those present and voting. The individual(s) in question must be provided with a written explanation of the reasons for such a vote being called for.
Said person shall, upon request, be given a hearing before the Executive
board, prior to any vote. If a person is so voted out of office, then that
person ceases to hold that office as soon as the vote has been certified by
the NYSA Secretary, (or, if the officer is the Secretary, by a person
appointed by the President to act as Secretary for this purpose).

C. EXECUTIVE BOARD

(1) Members, Powers, and Duties

(a) There is an Executive Board comprised of the President, Vice
President, Secretary, Treasurer, Upper Level Registration
Coordinator, Lower Level Coordinator Registration Coordinator,
Equipment Coordinator, Coach Coordinator, Field Assignment
Coordinator, Fund Raising Coordinator, Referee Coordinator,
Travel Teams Coordinator and Field Maintenance Coordinator.
(b) The President shall preside at all meetings.
(c) The Treasure shall receive and disburse all monies of the
Association at the direction of the Executive Board or the
President.
(d) The Secretary shall provide notice and minutes of all meetings.
(e) The Executive Board appoints chairpersons to special committees.
(f) Chairpersons may attend Executive Board meetings, but may not
vote.

(2) Meetings

(a) Meetings of the Executive Board may be called by the President,
Vice President, Secretary or Treasurer and shall be called by the
Secretary upon petition of a majority of members of the Executive Board.
(b) The Board shall meet at least twice each quarter.
(c) The following persons may vote at Executive Board meetings:

(1) Vice President
(2) Secretary
(3) Treasurer
(4) Upper Level Registration Coordinator
(5) Lower Level Registration Coordinator
(6) Equipment Coordinator
(7) Coach Coordinator
(8) Field Assignment Coordinator
(9) Funds Raising Coordinator
(10) Referee Coordinator
(11) Travel Teams Coordinator
(12) Field Maintenance Coordinator

(d) The President may only vote in case of a tie.
(e) No person shall cast more than one vote and decision shall
be by majority vote.

ARTICLE VI Amendments

A. These bylaws can be amended by a 2/3 vote of those present and voting at a
Meeting or special meeting of NYSA called for that purpose, and further, only
if notice has been given of the exact wording of the proposed amendment(s).
Notice must be given at least 72 hours in advance of the meetings.
